1.INTRODUCTORY PROVISIONS
These Terms and Conditions (hereinafter referred to as "Terms and Conditions") of Ultima Adventures, s.r.o., with its registered office at J. Š. Baara 1643/29, 37001 České Budějovice ID: 21106983 (hereinafter referred to as the "Seller") regulate the mutual rights and obligations of the parties arising in connection with or on the basis of a purchase contract (hereinafter referred to as the "Purchase Contract") concluded between the Seller and another natural or legal person (hereinafter referred to as the "Buyer") through the Seller's online store. The online shop is operated by the Seller on the internet address www.ultimapackrafts.cz, through a web interface (hereinafter referred to as the "web interface of the shop").
1.1.The Terms and Conditions further regulate the rights and obligations of the contracting parties when using the Seller's website located at www.ultimapackrafts.cz (hereinafter referred to as the "Website") and other related legal relations. The Terms and Conditions do not apply to cases where a person who intends to purchase goods from the Seller acts in the course of ordering goods in the course of his business (i.e. the sale of goods in a wholesale manner).
1.2.The Seller and the Buyer may agree in the Purchase Contract provisions deviating from the Commercial Terms. The deviating provisions in the purchase contract take precedence over the provisions of the terms and conditions.
1.3.The provisions of the Terms and Conditions are an integral part of the Purchase Agreement. The Purchase Contract and the Terms and Conditions are drawn up in the Czech language. The contract of sale can be concluded in the Czech language.
1.4.The Seller may change or supplement the wording of the Terms and Conditions. This provision does not affect the rights and obligations arising during the period of validity of the previous version of the Terms and Conditions.
2.user account
2.1.Based on the Buyer's registration made on the Website (if the Website allows it), the Buyer can access its user interface. The Buyer can order goods from his/her user interface (hereinafter referred to as "user account"). The Buyer can also order goods without registration directly from the web interface of the shop.
2.2.When registering on the website and when ordering goods, the buyer is obliged to provide correct and truthful information. The buyer is obliged to update the information provided in the user account in case of any change. The information provided by the Buyer in the user account and when ordering goods shall be deemed correct by the Seller.
2.3.Access to the user account is secured by a username and password. The Buyer shall maintain the confidentiality of the information necessary to access its user account and acknowledges that the Seller shall not be liable for any breach of this obligation by the Buyer.
2.4.The buyer is not entitled to allow third parties to use the user account.
2.5.The Seller may cancel the user account, especially if the Buyer does not use his/her user account for more than two years or if the Buyer violates his/her obligations under the Purchase Agreement (including the Terms and Conditions).
2.6.The Buyer acknowledges that the user account may not be available continuously, especially with regard to the necessary maintenance of the Seller's hardware and software equipment, or the necessary maintenance of hardware and software equipment of third parties.
3.conclusion of the purchase contract
3.1.The web interface of the shop contains a list of goods offered for sale by the Seller, including the prices of each offered item. The prices of the goods offered are inclusive of value added tax and all related charges. The offer for sale of goods and the prices of such goods shall remain valid for as long as they are displayed in the web interface of the Shop. This provision does not limit the seller's ability to conclude a purchase contract on individually agreed terms. All offers for sale of goods placed in the web interface of the shop are non-binding and the seller is not obliged to conclude a purchase contract in respect of these goods.
3.2.The web interface of the shop also contains information about the costs associated with the packaging and delivery of goods. The information on the costs associated with the packaging and delivery of goods listed in the web interface of the shop is valid only in cases where the goods are delivered within the Czech Republic. In the event of a Buyer's request for delivery of goods outside the Czech Republic, the amount of delivery costs will be agreed between the Seller and the Buyer via electronic communication.
3.3.To order goods, the buyer fills in the order form in the web interface of the shop. The order form contains in particular information about:
ordered goods (ordered goods are "inserted" by the buyer into the electronic shopping cart of the web interface of the store),
the method of payment of the purchase price of the goods, details of the required method of delivery of the ordered goods,
the costs associated with the delivery of the goods,
link to the Terms and Conditions and Complaints Procedure - the buyer agrees to the Terms and Conditions and Complaints Procedure by ticking the box I agree to the Terms and Conditions and Complaints Procedure.
3.4.Prior to sending the order to the Seller, the Buyer is allowed to check and change the data entered by the Buyer in the order, including with regard to the Buyer's ability to detect and correct errors made when entering data into the order. The Buyer sends the order to the Seller by clicking on the "send order" button. Subsequently, the sent order is displayed and the buyer can print the order. The data provided in the order is considered correct by the Seller.
3.5.Immediately upon receipt of the order, the Seller shall confirm receipt of the order to the Buyer by electronic mail to the Buyer's electronic mail address specified in the user interface or in the order (hereinafter referred to as the "Buyer's electronic address").
3.6.The Seller is always entitled, depending on the nature of the order (quantity of goods, amount of the purchase price, estimated shipping costs) to ask the Buyer for additional order confirmation.
3.7.The contractual relationship between the Seller and the Buyer arises either by delivery of the acceptance of the order (acceptance), which is sent by the Seller to the Buyer by electronic mail to the Buyer's electronic mail address, or by telephone confirmation of the order by the Seller.
3.8.The Buyer acknowledges that the Seller is not obliged to conclude the Purchase Contract, especially with persons who have previously substantially breached their obligations towards the Seller.
3.9.The Buyer agrees to the use of remote means of communication when concluding the Purchase Agreement. The costs incurred by the Buyer in using remote means of communication in connection with the conclusion of the Purchase Contract (costs of internet connection, costs of telephone calls) shall be borne by the Buyer.
4.price of goods and payment terms
4.1.The Buyer may pay the price of the goods and any costs associated with the delivery of the goods under the Purchase Contract to the Seller in the following ways:
in cash upon personal collection at the seller's premises at Ultima Adventures, s.r.o. with registered office J. Š. Baara 1643/29, 37001 České Budějovice,
in cash on delivery of goods on delivery via Czech Post at the place specified by the buyer in the order;
by wire transfer to the Seller's account No. 5130702003/5500, maintained at Raiffeisenbank a.s. (hereinafter referred to as the "Seller's account");
4.2.Together with the purchase price, the buyer is also obliged to pay the seller the costs associated with the packaging and delivery of the goods in the agreed amount. Unless expressly stated otherwise, the purchase price shall also include the costs associated with the delivery of the goods.
4.3.In case of payment in cash or cash on delivery, the purchase price is payable upon receipt of the goods. In case of payment by wire transfer, the purchase price is payable according to the due date indicated on the issued tax document.
4.4.The Seller is entitled, in particular in the event that the Buyer fails to subsequently confirm the order (Article 3.6), to require payment of the full purchase price before the goods are shipped to the Buyer.
4.5.Any discounts on the price of the goods granted by the Seller to the Buyer cannot be combined with each other.
4.6.The Seller is a payer of value added tax. The Seller shall issue a tax document (hereinafter referred to as the "cash document") to the Buyer in respect of payments made under the Purchase Agreement. The Seller shall send the original cash document together with the Goods to the Buyer at the delivery address specified in the Order. In case of personal collection of the goods, the Seller shall hand over the cash receipt to the Buyer upon collection of the goods.
5.withdrawal from the purchase contract
5.1.The Buyer acknowledges that according to the provisions of Section 1837 (d) of Act No. 89/2012 Coll., the Civil Code, as amended (hereinafter referred to as the "Civil Code"), it is not possible to withdraw from a purchase contract for the delivery of goods that have been modified according to the Buyer's wishes or for the Buyer's person.
5.2.Unless the case referred to in Article 5.1 or any other case in which the Purchase Contract cannot be withdrawn from, the Purchaser has the right to withdraw from the Purchase Contract within fourteen (14) days of receipt of the goods in accordance with the provisions of Section 1829(1) of the Civil Code. If the subject matter of the purchase contract is the purchase of several types of goods or the delivery of several parts, the buyer is entitled to withdraw from the purchase contract within fourteen (14) days from the date of receipt of the last delivery of goods in accordance with Section 1829(1)(b). The withdrawal from the contract must be delivered to the seller without undue delay after receipt of the goods. The buyer shall send the withdrawal from the purchase contract either:
in writing to Ultima Adventures, s.r.o., J. Š. Baara 1643/29, 370 01 České Budějovice;
via electronic communication to the Seller's electronic address info@ultimapackrafts.cz or
in writing together with the goods, which he returns to the Seller in connection with the withdrawal from the contract to the address specified in Article 5.3.
5.3.In the event of withdrawal from the contract according to Article 5.2 of the Terms and Conditions, the purchase contract shall be cancelled from the beginning. The Buyer is obliged to return the goods to the Seller within fourteen (14) working days from the date of withdrawal to Ultima Adventures, s.r.o., J. Š. Baara 1643/29, 370 01 České Budějovice.
The buyer is obliged to return the goods to the seller undamaged and unworn and, if possible, in the original packaging. The costs of returning the goods to the Seller shall be borne by the Buyer. Goods sent back to the Seller on delivery will not be accepted by the Seller.
5.4.In the event of withdrawal from the Contract pursuant to Article 5.2 of the Terms and Conditions, the Seller shall return to the Buyer the performance provided by the Buyer (i.e. the purchase price of the Goods and the costs paid by the Buyer for the delivery of the Goods) within fourteen (14) days from the date on which the withdrawal was delivered to the Seller, but not before the Buyer returns the Goods to the Seller. However, if the Buyer has chosen a delivery method other than the cheapest delivery method in the order, the Seller shall reimburse the Buyer for the delivery costs corresponding only to the cheapest delivery method offered. Unless the Buyer and the Seller agree otherwise, the refund shall be made in the same manner in which the Buyer provided the Seller with the performance.
5.5.The Buyer acknowledges that if the goods returned by the Buyer are damaged, worn out or partially consumed, the Seller is entitled to compensation for the damage incurred by the Buyer. The Seller is entitled to unilaterally set off the claim for payment of the damage against the Buyer's claim for reimbursement of the purchase price.
5.6.The Seller is entitled to withdraw from the Purchase Contract at any time until the Buyer has accepted the goods. In such case, the Seller shall refund the Purchase Price to the Buyer without undue delay, in cash to the account designated by the Buyer.
5.7.If a gift is given to the buyer together with the goods, the gift contract between the seller and the buyer is concluded with the condition that if the consumer withdraws from the purchase contract, the gift contract with respect to such gift shall cease to be effective and the buyer shall be obliged to return the gift together with the goods to the seller.
6.transport and delivery of goods
6.1.The method of delivery of the goods is determined by the Seller, unless otherwise specified in the Purchase Agreement. In the event that the method of delivery is agreed upon at the request of the Buyer, the Buyer acknowledges that in the event of withdrawal from the Purchase Agreement by the Buyer, the Seller shall only pay the Buyer the cost of the cheapest method of delivery of the goods offered by the Seller.
6.2.If the Seller is obliged under the Purchase Contract to deliver the goods to the place specified by the Buyer in the order, the Buyer is obliged to take delivery of the goods upon delivery. If the Buyer fails to take delivery of the goods on delivery, the Seller shall be entitled to withdraw from the Purchase Contract.
6.3.In the event that for reasons on the Buyer's side it is necessary to deliver the goods repeatedly or in a different way than specified in the order, the Buyer is obliged to pay the costs associated with the repeated delivery of the goods, or the costs associated with a different method of delivery.
6.4.Upon receipt of the goods from the carrier, the buyer is obliged to check the integrity of the packaging of the goods and in the event of any defects immediately notify the carrier. In the event that the packaging is found to have been damaged in any way indicating unauthorised intrusion into the shipment, the Buyer may not accept the shipment from the carrier. By signing the delivery note, the buyer confirms that the packaging of the consignment containing the goods has been intact.
7.Liability for defects, Warranty
7.1.The rights and obligations of the contracting parties regarding the Seller's liability for defects, including the Seller's warranty liability, are governed by the applicable generally binding regulations (in particular the provisions of § 1916 et seq. and § 2165 et seq. of the Civil Code).
7.2.The Seller is liable to the Buyer for the fact that the goods are in conformity with the Purchase Contract, in particular that they are free from defects. Conformity with the contract of sale means that the goods have the quality and performance required by the contract, described by the seller, the manufacturer or his representative or expected on the basis of their advertising, or the quality and performance usual for goods of this kind, that they comply with the requirements of legal regulations, are in the appropriate quantity, measure or weight and correspond to the purpose for which the seller states the goods are used or for which the goods are usually used.
7.3.In the event that the goods are not in conformity with the Purchase Contract upon receipt by the Buyer (hereinafter referred to as "Contradiction with the Purchase Contract"), the Buyer shall have the right to have the Seller restore the goods to the condition corresponding to the Purchase Contract free of charge and without undue delay, either by replacing the goods or by repairing them, as requested by the Buyer; if such procedure is not possible, the Buyer may demand a reasonable discount from the price of the goods or withdraw from the Contract. This does not apply if the buyer knew of the non-conformity with the purchase contract before taking delivery of the item or caused the non-conformity with the purchase contract.
7.4.Unless the goods are perishable or second-hand, the seller is liable for defects that manifest themselves as a breach of the purchase contract after the acceptance of the goods within the warranty period (warranty).
7.5.The Buyer's rights arising from the Seller's liability for defects, including the Seller's warranty liability, shall be exercised by the Buyer with the Seller at the addresses specified in Article 5.2 of these Terms and Conditions.
The moment of claim is considered to be the moment when the seller received the claimed goods from the buyer.
7.6.Other rights and obligations of the parties related to the Seller's liability for defects, as well as detailed information on the Buyer's options for asserting his/her claim for defective performance of the Seller are regulated by the Seller's Complaints Procedure, which is available at www.ultimapackrafts.cz.
8.další práva a povinnosti smluvních stran
8.1.Kupující nabývá vlastnictví ke zboží zaplacením celé kupní ceny zboží.
8.2.Kupující bere na vědomí, že programové vybavení a další součásti tvořící webové rozhraní obchodu (včetně fotografií nabízeného zboží) jsou chráněny autorským právem. Kupující se zavazuje, že nebude vykonávat žádnou činnost, která by mohla jemu nebo třetím osobám umožnit neoprávněně zasahovat či neoprávněně užít programové vybavení nebo další součásti tvořící webové rozhraní obchodu.
8.3.Kupující není oprávněn při využívání webového rozhraní obchodu používat mechanismy, programové vybavení nebo jiné postupy, které by mohly mít negativní vliv na provoz webového rozhraní obchodu. Webové rozhraní obchodu je možné užívat jen v rozsahu, který není na úkor práv ostatních zákazníků prodávajícího a který je v souladu s jeho určením.
8.4.Prodávající není ve vztahu ke kupujícímu vázán žádnými kodexy chování ve smyslu ustanovení § 1826 odst. 1 písm. e) občanského zákoníku.
8.5.Kupující bere na vědomí, že prodávající nenese odpovědnost za chyby vzniklé v důsledku zásahů třetích osob do webové stránky nebo v důsledku užití webové stránky v rozporu s jejich určením.
9. ochrana osobních údajů a zasílání obchodních sdělení
9.1.Ochrana osobních údajů kupujícího, který je fyzickou osobou, je poskytována zákonem č. 101/2000 Sb., o ochraně osobních údajů, ve znění pozdějších předpisů.
9.2.Kupující souhlasí se zpracováním těchto svých osobních údajů: jméno a příjmení, adresa bydliště, název firmy, identifikační číslo, daňové identifikační číslo, adresa elektronické pošty, telefonní číslo a případných dalších osobních údajů, které prodávajícímu poskytne (dále společně vše jen jako „osobní údaje“).
9.3.Kupující souhlasí se zpracováním osobních údajů prodávajícím, a to pro účely realizace práv a povinností z kupní smlouvy, pro účely vedení uživatelského účtu a pro účely zasílání informací a obchodních sdělení kupujícímu.
9.4.Kupující bere na vědomí, že je povinen své osobní údaje (při registraci, ve svém uživatelském účtu, při objednávce provedené z webového rozhraní obchodu) uvádět správně a pravdivě a že je povinen bez zbytečného odkladu informovat prodávajícího o změně ve svých osobních údajích.
9.5.Zpracováním osobních údajů kupujícího může prodávající pověřit třetí osobu, jakožto zpracovatele. Kromě osob dopravujících zboží nebudou osobní údaje prodávajícím bez předchozího souhlasu kupujícího předávány třetím osobám.
9.6.Osobní údaje budou zpracovávány po dobu neurčitou. Osobní údaje budou zpracovávány v elektronické podobě automatizovaným způsobem nebo v tištěné podobě neautomatizovaným způsobem.
9.7.Kupující potvrzuje, že poskytnuté osobní údaje jsou přesné a že byl poučen o tom, že se jedná o dobrovolné poskytnutí osobních údajů.
9.8.V případě, že by se kupující domníval, že prodávající nebo zpracovatel (čl. 9.5) provádí zpracování jeho osobních údajů, které je v rozporu s ochranou soukromého a osobního života kupujícího nebo v rozporu se zákonem, zejména jsou-li osobní údaje nepřesné s ohledem na účel jejich zpracování, může:
požádat prodávajícího nebo zpracovatele o vysvětlení,
požadovat, aby prodávající nebo zpracovatel odstranil takto vzniklý stav. Zejména se může jednat o blokování, provedení opravy, doplnění nebo likvidaci osobních údajů. Je-li žádost kupujícího podle předchozí věty shledána oprávněnou, prodávající nebo zpracovatel odstraní neprodleně závadný stav. Nevyhoví-li prodávající nebo zpracovatel žádosti, má kupující právo obrátit se přímo na Úřad pro ochranu osobních údajů. Tímto ustanovením není dotčeno oprávnění kupujícího obrátit se se svým podnětem na Úřad pro ochranu osobních údajů přímo.
9.9.Požádá-li kupující o informaci o zpracování svých osobních údajů, je mu prodávající povinen tuto informaci předat. Prodávající má právo za poskytnutí informace podle předchozí věty požadovat přiměřenou úhradu nepřevyšující náklady nezbytné na poskytnutí informace.
10.Zasílání obchodních sdělení a ukládání cookies
10.1.Kupující souhlasí se zasíláním informací souvisejících se zbožím, službami nebo podnikem prodávajícího na elektronickou adresu kupujícího a dále souhlasí se zasíláním obchodních sdělení prodávajícím na elektronickou adresu kupujícího.
10.2.Kupující souhlasí s ukládáním tzv. cookies na jeho počítač. V případě, že je nákup na webové stránce možné provést a závazky prodávajícího z kupní smlouvy plnit, aniž by docházelo k ukládání tzv. cookies na počítač kupujícího, může kupující souhlas podle předchozí věty kdykoliv odvolat.
11.Doručování
11.1.Nebude-li dohodnuto jinak, veškerá korespondence související s kupní smlouvou musí být druhé smluvní straně doručena písemně, a to elektronickou poštou, osobně nebo doporučeně prostřednictvím provozovatele poštovních služeb (dle volby odesílatele). Kupujícímu je doručováno na adresu elektronické pošty uvedenou v jeho uživatelském účtu nebo v objednávce, pokud kupující nemá založený uživatelský účet..
12.závĚrečná ustanovení
12.1.Pokud vztah související s užitím webové stránky nebo právní vztah založený kupní smlouvou obsahuje mezinárodní (zahraniční) prvek, pak strany sjednávají, že vztah se řídí českým právem. Tímto nejsou dotčena práva spotřebitele vyplývající z obecně závazných právních předpisů.
12.2.Prodávající je oprávněn k prodeji zboží na základě živnostenského oprávnění. Živnostenskou kontrolu provádí v rámci své působnosti příslušný živnostenský úřad.
12.3.Je-li některé ustanovení obchodních podmínek neplatné nebo neúčinné, nebo se takovým stane, namísto neplatných ustanovení nastoupí ustanovení, jehož smysl se neplatnému ustanovení co nejvíce přibližuje. Neplatností nebo neúčinností jednoho ustanovení není dotknutá platnost ostatních ustanovení. Změny a doplňky kupní smlouvy či obchodních podmínek vyžadují písemnou formu.
12.4.Kupní smlouva včetně obchodních podmínek je archivována prodávajícím v elektronické podobě a není přístupná.
